This End User License Agreement ("Agreement") governs the use of The Prime Company QBO Connector (the "Application"), a software integration developed and operated by The Prime Company ("Company," "we," "us"), located at 2021 Vanesta Place, Suite A, Manhattan, KS 66503.
The Application is an internal business tool that connects the Company's Google Workspace environment (Google Sheets and Google Apps Script) to the Company's own QuickBooks Online accounts through Intuit's developer APIs for the purpose of uploading and synchronizing accounting data.
The Company grants authorized employees and contractors of The Prime Company and its affiliated entities ("Users") a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the Company's internal business operations. The Application is not offered, licensed, or sold to the public.
Users may not: (a) copy, modify, distribute, sell, sublicense, or lease the Application; (b) reverse engineer, decompile, or disassemble the Application; (c) use the Application to access any QuickBooks Online company file other than those owned or managed by the Company; (d) use the Application for any unlawful purpose or in violation of Intuit's terms of service; or (e) share authentication credentials associated with the Application.
The Application, including all code, scripts, and documentation, is the property of The Prime Company. QuickBooks and QuickBooks Online are registered trademarks of Intuit Inc. The Application is not developed, endorsed, or supported by Intuit Inc.
The Application interacts with services provided by Intuit Inc. and Google LLC. Use of those services is subject to their respective terms of service and privacy policies. The Company is not responsible for the availability, accuracy, or performance of third-party services.
The Application transmits accounting data between the Company's Google Sheets and the Company's QuickBooks Online accounts. Handling of that data is described in our Privacy Policy, available on this website.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE APPLICATION.
The Company may suspend or terminate access to the Application at any time, with or without notice. Upon termination, all rights granted under this Agreement cease immediately.
The Company may update this Agreement from time to time. The current version will be posted on this page with its effective date. Continued use of the Application after changes are posted constitutes acceptance of the revised Agreement.
This Agreement is governed by the laws of the State of Kansas, without regard to its conflict of laws principles.
